These Terms of Service ("Terms") govern your access to and use of the Semantic Developer app and any related websites or support services provided by Stainless Designer LLC ("Company," "we," "us," or "our") (collectively, the "Service").
By downloading, installing, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility and Authority
You may use the Service only if you can form a binding contract and your use is not prohibited by applicable law. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. License
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Service for its intended purpose. This license does not transfer any ownership rights in the Service.
3. Your Use of the Service
You agree that you will use the Service only for lawful purposes, use the Service only to access systems, servers, networks, and accounts you are authorized to access, keep your devices and credentials reasonably secure, and comply with all applicable laws, regulations, and third-party rights.
You agree that you will not use the Service to gain unauthorized access to any system or data, interfere with or disrupt the Service or related infrastructure, reverse engineer the Service except to the extent such restriction is prohibited by law, use the Service in violation of export controls or sanctions, or transmit unlawful, infringing, harmful, or malicious content or commands.
4. Remote Systems and Third-Party Services
The Service is a client tool. Remote systems you connect to, and any third-party infrastructure involved in those connections, are not controlled by Stainless Designer LLC.
We are not responsible for the availability, security, content, or operation of remote systems you connect to; actions taken by system administrators, hosting providers, or third parties; data loss, disclosure, or compromise caused by the systems you choose to access; or charges, restrictions, or policies imposed by third parties.
5. Credentials and Security
You are responsible for the credentials, connection settings, private keys, passwords, passphrases, commands, and data you choose to store or transmit using the Service.
While the Service may use platform security features such as Apple Keychain, no software or storage mechanism can guarantee absolute security.
6. Updates and Changes
We may modify, suspend, or discontinue all or part of the Service at any time, with or without notice, to the extent permitted by law. We may also update these Terms from time to time.
7. Intellectual Property
The Service, including its software, branding, design, text, graphics, and other content provided by us, is owned by Stainless Designer LLC or its licensors and is protected by intellectual property laws. Except for the limited license granted in these Terms, we reserve all rights not expressly granted.
8. Feedback
If you provide suggestions, ideas, or feedback about the Service, you grant us a non-exclusive, worldwide, perpetual, irrevocable, sublicensable, transferable, royalty-free license to use, reproduce, modify, adapt, publish, and otherwise exploit that feedback without compensation or obligation to you.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" TO THE MAXIMUM EXTENT PERMITTED BY LAW. TO THE MAXIMUM EXTENT PERMITTED BY LAW, STAINLESS DESIGNER LLC DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, STAINLESS DESIGNER LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, REVENUE, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF STAINLESS DESIGNER LLC FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR USD $50.
11. Indemnification
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Stainless Designer LLC and its members, managers, officers, employees, contractors, affiliates, licensors, and service providers from and against claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees arising out of or related to your use or misuse of the Service, your violation of these Terms, your violation of any law or third-party right, or your unauthorized access to any system or data.
12. Termination
We may suspend or terminate your access to the Service at any time if we believe you have violated these Terms, created risk for us or others, or if we are required to do so by law. You may stop using the Service at any time.
13. Governing Law
These Terms are governed by applicable law, without regard to conflict of laws principles, except to the extent superseded by applicable federal law or consumer-protection rules that cannot be waived by contract.
14. App Store Terms
If you download the app from Apple's App Store, you acknowledge that these Terms are between you and Stainless Designer LLC, not Apple, and that Apple is not responsible for the Service or its content. Apple is a third-party beneficiary of these Terms and may enforce them against you.
15. General Terms
If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect. Our failure to enforce any provision is not a waiver of that provision. You may not assign these Terms without our prior written consent. We may assign these Terms as part of a merger, acquisition, reorganization, or sale of assets.
